Starting a business online: what you need to know


Which legal statuses can be created online?

Only GmbH and UG (limited liability) can be started online, and only if it's from cash capital contributions, with monetary contributions from shareholders. Non-cash contributions (or contribution in kind) or mixed contributions can’t be done online. Other legal structures can’t currently be established online, but some can be registered online with the official commercial register.

Which formalities can be handled online?

The set-up of a GmbH or UG (limited liability) includes the notarization of the articles of association and all related shareholder resolutions, which can be done online. After creation, further notarial actions, such as amendments to the articles or share sales, must still be conducted in person with the notary. The registration in the commercial register, which enforces the limited liability, can also be done online.

What does online notarization and certification mean?

Since 1 August 2022, founders can establish a GmbH or UG (limited liability) online without needing to appear in person at the notary office. This is also possible for founders who are abroad. During the online session with the notary, certain notarial registrations to the commercial register can also be handled. The online procedure is available as an additional option alongside traditional in-person notarization.

Is online company creation possible with a power of attorney?

Yes, creation through an authorized representative is possible online. A notarized or certified power of attorney is required, which may need to be legalized abroad or provided with an apostille. The original power of attorney (or a certified copy) must be presented to the domestic notary.
